‘FOB China’, ‘CIF project’ and ‘DDP address’ look concise, but they are not reliable logistics scopes. The rule, edition, exact named place or port, and the remaining task matrix must be recorded together.
A quotation says ‘CIF’ but names no destination port. Another says ‘FOB factory’, although FOB is an ICC rule for sea or inland-waterway transport whose delivery point is on board the vessel at the named port of shipment. A third says ‘DAP site’ but does not identify the gate, unloading party, import clearance route or whether an oversized stillage can reach the stated point. The commercial problem is not solved by choosing a familiar acronym. It is solved by using the ICC wording accurately and then allocating the real handling, document and interface tasks in the sales contract. This guide provides a coordination record, not an interpretation of any transaction.
1. Write the rule as a complete reference, not a loose acronym
ICC recommends identifying the chosen rule, the named place, port or point, and the edition—for example, '[rule] [named place/port/point] Incoterms 2020'. The geographic precision matters because the named location can affect where delivery occurs and which transport costs sit on either side of that point. A country, city, job name or phrase such as 'supplier port' may leave multiple terminals, gates or handover points open.
Capture the address or port/terminal name at quotation stage, but do not invent a location simply to complete a form. Record whether the exact point is proposed, confirmed or held for logistics review. For a construction site, include the agreed gate or receiving zone only after the route, vehicle access, opening hours, appointment process, ground conditions and package-handling limitations have been checked by the responsible parties.
Use the edition explicitly. Incoterms rules have been revised over time; a bare acronym does not tell the team which text it intends to incorporate. Keep the licensed rule text and signed contract under document control rather than relying on an online summary or a supplier's paraphrase. A schedule can operationalise agreed duties, but it cannot replace the rule or vary the contract silently.
| Field | Controlled entry | Why it matters |
|---|---|---|
| Rule | One agreed three-letter rule | Different rules allocate delivery, risk, cost and formalities differently |
| Named location | Exact place, port or point, including terminal/gate where agreed | A broad location can hide an extra inland or terminal leg |
| Edition | Incoterms 2020 or the actually agreed edition | Prevents teams applying different versions |
| Status | Proposed / confirmed / contract incorporated | A quote notation is not automatically the signed bargain |
| Source document | Quotation, purchase order and contract revision | Shows which controlled document contains the term |
| Open qualifications | Access, carrier, customs, insurance or handling issue plus owner/date | Keeps a known gap visible before release |
2. Separate delivery, risk, cost and the issues Incoterms do not govern
ICC describes Incoterms rules as clarifying specified responsibilities in a goods sale: who organises carriage or insurance where the selected rule requires it, which party handles stated export/import formalities, where delivery occurs, and the allocation of specified costs and risk. These are connected questions, but they are not interchangeable. The seller paying main carriage under a C-rule does not mean risk necessarily transfers at the destination. The contract team must read the selected rule rather than infer risk from the freight invoice.
Incoterms rules do not constitute a complete sales contract. ICC materials identify matters outside their scope, including the existence or specifications of the goods, price/payment, transfer of ownership/title, breach consequences and dispute resolution. Add those matters in the authorised contract route. Do not treat a logistics matrix as a legal remedy or use 'risk transfer' as shorthand for title, invoice due date, acceptance or warranty commencement.
For windows and doors, physical interfaces deserve a second matrix: export packing; loading; origin terminal handling; main carriage; insurance evidence; destination terminal charges; customs broker data; duties/taxes; release fees; demurrage/storage exposure; inland transport; site booking; unloading; lifting; inspection; stillage disposal or return. Record the party that contracts, pays initially, supplies information and bears the agreed responsibility for each item. Those roles may not all be the same.
| Question | Evidence to record | Do not substitute |
|---|---|---|
| Where does contractual delivery occur under the chosen rule? | Licensed rule text plus exact named point | Final physical destination or invoice address |
| Where does loss/damage risk transfer? | Chosen rule and shipment event evidence | Who prepaid freight |
| Which specified costs are allocated? | Rule plus an itemised logistics matrix | A lump-sum freight line |
| What sits outside Incoterms? | Signed provisions for goods, payment, title, acceptance, breach and disputes | The three-letter rule |
3. Check transport-mode fit and container handover reality
ICC divides the eleven Incoterms 2020 rules into rules usable for any mode or combination of modes and rules intended for sea and inland-waterway transport. FOB, CFR and CIF belong to the latter group. ICC's own guidance warns that where goods are handed to a carrier at a container terminal before loading on board, FCA may be more appropriate than FOB. That is a coordination prompt, not a universal instruction: select the rule through the parties' authorised commercial and logistics review.
Map the actual chain before agreeing the term: factory collection, consolidation, export terminal, carrier receipt, vessel loading, transshipment, destination terminal, customs release, inland vehicle and site receiving point. Mark the documentary event available at each step. For example, an on-board bill of lading request under a letter-of-credit process must be coordinated with the selected rule and carrier practice; Incoterms 2020 added an FCA mechanism for parties that agree the buyer will instruct its carrier to issue an on-board bill of lading to the seller.
Package geometry can make a named place operationally impossible. Record stillage length, width, height, gross mass, lifting points and handling restrictions only from approved packing information. Check equipment, access and safe unloading separately. A term that assigns delivery to a point does not prove that the site can accept the package or that the quoted vehicle and lifting method are feasible.
| Checkpoint | Required evidence | Release state |
|---|---|---|
| Transport chain | Named carrier handovers and planned modes | Confirmed / open |
| Terminal or site point | Exact address/terminal/gate and receiving rules | Confirmed / open |
| Package compatibility | Approved dimensions, mass and handling limits | Confirmed / open |
| Customs/data route | Responsible parties, broker interface and required records | Confirmed / open |
| Unloading/lifting | Named provider, equipment, access and safety method | Confirmed / open |
| Document trigger | Event, issuer, recipient and discrepancy route | Confirmed / open |
4. Freeze the named place through quote comparison, order and shipment
Normalise bids to the same rule, edition and named point before comparing totals. If that is not possible, show the delta: unpriced inland leg, insurance scope, terminal cost, customs work, unloading or other stated difference. A low total with a vague place is not a like-for-like commercial result.
Treat any change of port, terminal, project gate, consolidation route or responsible carrier as controlled. Record the old and proposed term, affected shipments, change in delivery/risk event, cost and document effects, customs/insurance review, programme impact and authorised disposition. Do not let a forwarder's booking email become an unreviewed contract amendment.
Before shipment release, reconcile the signed reference with the commercial invoice, packing list, transport booking, insurance instructions where applicable, customs data, receiving plan and payment-document checklist. Differences must be resolved by the authorised parties. The release record should say what is confirmed and what remains held; it should never claim that an Incoterms rule eliminates transit, customs or site-interface risk.
FAQ
Is 'FOB China' precise enough?
Usually not as a control record. State the exact named port or point and edition, then confirm that the selected rule fits the actual handover chain.
If the seller pays freight, does risk transfer at destination?
Not necessarily. Under several Incoterms rules, cost and risk transfer at different points. Read the selected licensed rule and signed contract.
Do Incoterms decide ownership of the windows?
No. ICC states that transfer of ownership/title is outside the rules' scope; the contract and applicable law must address it.
Does DAP include unloading?
Do not infer unloading from the destination wording alone. Apply the agreed Incoterms 2020 rule and record unloading responsibility and feasibility explicitly.
Can the named place be changed after the order?
Only through the contract's authorised change route after cost, risk, documents, customs, insurance and programme effects are reviewed.
